The Mark Zuckerberg Meta board dispute escalated during negotiations over a proposed new class of shares intended to help fund the company’s artificial intelligence (AI) investments, according to a recent securities filing.
The filing, dated October 21, 2026, details disagreements between Zuckerberg and Meta’s board directors over the terms of the proposed stock structure. Directors involved in negotiations sought changes to the arrangements governing Zuckerberg’s control of the company.
The negotiations reportedly deteriorated into a months-long power struggle, with Zuckerberg resisting proposals that could reduce his control under certain circumstances.
Meta board sought limits on Zuckerberg’s control
In June, directors proposed changes to the special shares that allow Zuckerberg to exercise effective control over Meta.
Under the existing arrangement described in the filing, Zuckerberg can designate someone to inherit his enhanced voting rights if he dies, is fired or becomes disabled.
The directors proposed that these rights should instead lapse under certain circumstances, rather than transfer to a designated successor. They also sought a condition under which Zuckerberg would relinquish the enhanced control if his ownership fell below half the number of Meta shares he held when the new share class was issued.
The proposed changes would have altered how Zuckerberg’s voting control could continue in the event of a major change in his circumstances or shareholding.
Zuckerberg opposed proposed restrictions
Zuckerberg resisted the board’s proposed conditions, according to the filing.
His lawyer conveyed that Zuckerberg did not want to lose control while pursuing what he considered a proposal intended to strengthen Meta.
The disagreement complicated negotiations over the new share class, which was intended to support the company’s substantial AI investment plans.
The Washington Post reported that the dispute led to tensions between Zuckerberg and board members, including discussions among directors about whether to resign.
AI investment plans intersect with corporate governance
The negotiations highlight the challenge of balancing major technology investments with corporate governance and shareholder oversight.
Meta’s proposed share structure was intended to help fund its AI ambitions. However, the board’s efforts to attach conditions to Zuckerberg’s enhanced voting rights introduced a separate question about how control of the company would be maintained over time.
The filing provides details of the disagreement, although the reported proposals should not be treated as final changes to Meta’s share structure. The dispute centres on the terms sought during negotiations and Zuckerberg’s response to them.
